1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the website located at https://epicater.ca, the Epicater ordering dashboard, and the corporate catering services (collectively, the "Services") provided by Epicater Inc. ("Epicater," "we," "us," or "our").
By accessing our website, creating an account, or placing an order, you ("you," "the Customer," or "the client") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, you must not use the Services.
Your use of the Services is also governed by our Privacy Policy, which explains how we collect and handle personal information.
2. About Epicater and Our Role
Epicater operates a corporate catering platform that enables businesses to order catering and related services. Depending on the order, catering may be prepared and fulfilled by Epicater directly or by independent third-party catering vendors ("Vendor Partners") whom we coordinate on your behalf.
Where a Vendor Partner prepares or delivers an order, Epicater acts as an intermediary facilitating the order between you and that Vendor Partner. We take reasonable care in selecting and coordinating Vendor Partners, but the food preparation itself is performed by the applicable Vendor Partner.
3. Eligibility and Accounts
To use certain features of the Services, you may need to register for an account through our dashboard.
You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us promptly of any unauthorized use of your account.
Our Services are intended for business and corporate customers, and are not directed to individuals under the age of majority in their province or territory of residence.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
4. Orders
Placing an order. You may place orders through our website, dashboard, or other channels we make available. All orders are subject to acceptance by Epicater.
Order confirmation. An order is not binding until we issue a confirmation. We reserve the right to decline or cancel any order, including where an item is unavailable, where there is an error in pricing or product information, or where we are unable to fulfill the order.
Minimum orders and lead times. Certain orders are subject to minimum order values, minimum headcounts, and advance-notice (lead time) requirements. These will be communicated at the time of ordering.
Headcount and final details. You are responsible for confirming final headcount, menu selections, dietary requirements, delivery address, and delivery time by any applicable deadline. Changes requested after that deadline may not be accommodated and may incur additional charges.
5. Pricing, Taxes, and Payment
Pricing. Prices for catering, delivery, service, and any additional fees will be presented before you confirm your order. Prices are subject to change until an order is confirmed.
Taxes. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes, including HST, associated with your order.
Payment. Unless otherwise stated in writing or agreed in a separate agreement between you and Epicater, payment is due within fifteen (15) days of the invoice date (Net 15).
Deposits. For most orders we do not require a deposit. For orders exceeding $7,500, we may require a deposit of 50% of the order value at the time of booking, with the balance due on Net 15 terms as set out above.
Late payment. Overdue amounts may be subject to interest at a rate of 1.5% per month (18% per annum), or the maximum rate permitted by applicable law if lower, and to suspension of Services until the balance is paid.
Payment processing. Payments are processed by third-party payment processors, and your use of those services may be subject to their terms.
6. Cancellations, Changes, and Refunds
Because catering orders require ingredients to be purchased and food to be prepared in advance, cancellation and change terms are important.
Cancellations by you. Cancellations must be submitted in writing (including by email). For orders of fewer than 100 people, cancellations must be received at least 48 hours before the scheduled delivery time. For orders of 100 people or more, cancellations must be received at least 72 hours before the scheduled delivery time. Cancellations received after the applicable deadline, or after preparation has begun, are subject to a cancellation fee equal to the full value of the order.
Changes. Requests to change menu selections, headcount, delivery time, or delivery location are subject to availability and to any applicable deadlines, and may result in price adjustments.
Cancellations by Epicater. We may cancel an order due to circumstances beyond our reasonable control, unavailability, or non-payment. Where we cancel an order that you have paid for and that we cannot fulfill, we will provide a refund or credit for the affected portion.
Refunds. Refund eligibility depends on the timing of the cancellation and the status of the order. Refunds, where applicable, are issued to the original method of payment.
7. Delivery and Fulfillment
Delivery windows. We will use reasonable efforts to deliver within the agreed delivery window. Delivery times are estimates and are not guaranteed.
Access and receipt. You are responsible for ensuring that someone is available to receive the order at the specified location and time, and for providing any access information (building entry, loading, parking, security) needed for delivery.
Failed delivery. If delivery cannot be completed because no one is available to receive the order or because access is not provided, we may leave the order at the location where reasonable, and you remain responsible for the full order amount.
Setup and equipment. Any setup services, serving equipment, or rentals are provided only where expressly agreed. You are responsible for the safe return of any equipment provided on a returnable basis.
8. Food Safety, Allergens, and Dietary Requirements
Allergen disclaimer. Our food and the food prepared by our Vendor Partners is produced in kitchens that handle common allergens, including nuts, dairy, gluten, eggs, soy, and shellfish. We cannot guarantee that any item is free from any particular allergen, and we cannot guarantee against cross-contamination.
Your responsibility. You are responsible for communicating any allergies, intolerances, or dietary requirements at the time of ordering, and for informing the individuals who will consume the food of the potential presence of allergens.
Handling after delivery. Food is prepared to be served within a safe window. Once an order has been delivered, you are responsible for proper storage, refrigeration, holding times, and handling. Epicater is not liable for issues arising from improper handling, storage, or consumption of food after delivery.
Substitutions. Where an ingredient or menu item is unavailable, we may substitute an item of comparable quality and value.
9. Vendor Partners
Where your order is fulfilled by a Vendor Partner:
The Vendor Partner is an independent business responsible for preparing and, where applicable, delivering the food in accordance with applicable food safety, licensing, and health regulations.
Epicater coordinates the order but does not control the day-to-day operations of Vendor Partners.
Any separate terms applicable to Vendor Partners participating in the Epicater platform are set out in their respective partnership agreements with us.
10. Acceptable Use of the Website
You agree not to:
Use the Services for any unlawful, fraudulent, or unauthorized purpose;
Interfere with or disrupt the integrity or performance of the website or its systems;
Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems;
Scrape, harvest, or collect information from the Services by automated means without our permission; or
Reproduce, resell, or exploit any part of the Services without our express written consent.
11. Intellectual Property
The website, its content, design, logos, trademarks, menus, and all related materials are owned by or licensed to Epicater and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent. Nothing in these Terms transfers any ownership rights to you.
12. Third-Party Links and Services
The Services may contain links to, or rely on, third-party websites and services (such as payment processors and mapping or delivery tools). We are not responsible for the content, policies, or practices of any third party, and your use of those services is at your own risk and subject to their terms.
13. Warranties and Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Epicater disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.
14. Limitation of Liability
To the fullest extent permitted by law:
Epicater will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Services or these Terms.
Epicater's total aggregate liability arising out of or related to any order will not exceed the amount you paid for that order.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under applicable law.
15. Indemnification
You agree to indemnify and hold harmless Epicater, its officers, directors, employees, and Vendor Partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Services, or your failure to communicate dietary or allergen information as required.
16. Force Majeure
Epicater will not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, severe weather, fire, flood, labour disputes, strikes, supply shortages, utility or transportation disruptions, pandemics, government actions, or the failure of Vendor Partners or suppliers.
17. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms or if we reasonably believe your use poses a risk to Epicater, our Vendor Partners, or other customers. Provisions that by their nature should survive termination — including those relating to payment, intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
18. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any dispute arising out of or related to these Terms or the Services.
19. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when they were last revised. Changes are effective when posted on this page. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
20. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any order-specific terms, constitute the entire agreement between you and Epicater regarding the Services.
